Terms and Conditions

Terms and Conditions for Artwork/Written Work Submission from Children to StoryBee Inc.

Please read these Terms and Conditions ("Terms") carefully before submitting any artwork or written work ("Work") to StoryBee Inc. ("we", "us", or "our"). By submitting your Work, you agree to be bound by these Terms. If you do not agree to these Terms, please do not submit any Work.

Eligibility

1.1. The submission is open to children aged 18 years or younger, residing anywhere in the world.

1.2. If you are under the age of majority in your jurisdiction, you must obtain the consent of a parent or legal guardian to submit your Work. By submitting your Work, you represent and warrant that you have obtained such consent.

Submission of Work

2.1. All submissions must be original and must not infringe upon the rights of any third party, including but not limited to copyrights, trademarks, or rights of privacy or publicity.

2.2. By submitting your Work, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the Work in connection with our activities, including without limitation, for promoting and redistributing part or all of the Work (and derivative works thereof) in any media formats and through any media channels.

2.3. You retain all copyright and other intellectual property rights in your Work, subject to the license granted in Section 2.2.

Selection and Publication

3.1. We reserve the right, in our sole discretion, to accept or reject any Work submitted to us. Our decision to publish or not publish a submitted Work is final and not subject to appeal.

3.2. We are under no obligation to provide feedback or reasons for rejecting a submitted Work.

3.3. If your Work is selected for publication, we may edit, modify, or otherwise adapt the Work as we see fit, without seeking further consent from you or providing notice.

3.4. We will not provide any compensation or monetary reward for the submission or publication of your Work.

Representations and Warranties

4.1. By submitting your Work, you represent and warrant that:

4.1.1. You are the sole author and owner of the Work, or you have the necessary licenses, rights, consents, and permissions to use and authorize us to use the Work as set forth in these Terms.

4.1.2. The Work does not contain any material that is defamatory, obscene, or otherwise unlawful or harmful to any third party.

4.1.3. The Work does not infringe upon any rights of any third party, including but not limited to copyrights, trademarks, or rights of privacy or publicity.

Indemnification

5.1. You agree to indemnify, defend, and hold harmless StoryBee Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of our services, your submission of any Work, or your breach of these Terms, including but not limited to any infringement of any third party's intellectual property or privacy rights.

Limitation of Liability

6.1. In no event shall StoryBee Inc., its affiliates, or their respective officers, directors, employees, or agents be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any other damages of any kind, arising out of or in connection with these Terms, your submission of any Work, or our use or publication of the Work, even if we have been advised of the possibility of such damages.

6.2. You agree not to post, upload to, transmit, distribute, store, create, or otherwise publish through us any of the following:

  • Work that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd, suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, deceptive or misleading;

  • Work that would constitute, encourage or provide instructions for a criminal offense, violate the rights of any party, or that would otherwise create liability or violate any local, state, national or international law;

  • Work that may infringe any patent, trademark, trade secret, copyright or other intellectual or proprietary right of any party;

  • Work that impersonates any person or entity or otherwise misrepresents your affiliation with a person or entity;

  • Unsolicited promotions, political campaigning, advertising, or solicitations;

  • Private information of any third party, including, without limitation, addresses, phone numbers, email addresses, Social Security numbers and credit card numbers;

  • Viruses, corrupted data or other harmful, disruptive or destructive files;

  • Work which violates the terms of any StoryBee’s guidelines, policies or rules posted on the Site or otherwise provided to you;

  • Work that, in the sole judgment of StoryBee Inc., is objectionable or which restricts or inhibits any other person from using or enjoying the Interactive Areas or the Sites, or which may expose StoryBee Inc. or its users to any harm or liability of any type.

We shall take no responsibility and assumes no liability for any Work posted, stored or uploaded by you or any third party, or for any loss or damage thereto, nor is StoryBee Inc. liable for any mistakes, defamation, slander, libel, omissions, falsehoods, obscenity, pornography or profanity you may encounter. Enforcement of the Work or conduct rules set forth in these Terms is solely at our discretion, and failure to enforce such rules in some instances does not constitute a waiver of our right to enforce such rules in other instances. In addition, these rules do not create any private right of action on the part of any third party or any reasonable expectation that the Sites will not contain any content that is prohibited by such rules. As a provider of interactive services, we are not liable for any statements, representations, or Work provided by its users in any public forum, blog or other area of the Sites. Although StoryBee Inc. has no obligation to do so, it reserves the right, and has absolute discretion, to remove, screen or edit any Work posted or stored on the Sites at any time and for any reason without notice, and you are solely responsible for creating backup copies of and replacing any Work you post or store on the Sites at your sole cost and expense. Any use of the Sites in violation of the foregoing violates these Terms and may result in, among other things, termination, or suspension of your rights to use the Sites.

Except as otherwise provided, you retain ownership of all Work you submit. However, if you submit Work to the Sites, unless we indicate otherwise, you grant StoryBee Inc. and its affiliates a nonexclusive, royalty-free, perpetual, irrevocable and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Work throughout the world in any manner or media, including without limitation in advertising, fundraising and other communications in support of StoryBee Inc., the issues, organizations or causes supported by StoryBee Inc., without any right of compensation or attribution. You grant us and our affiliates and sublicensees the right to use the name that you submit in connection with such content, if they choose. You represent and warrant that (a) you own and control all of the rights to the Work that you post or you otherwise have the right to post such Work to the Sites; (b) the Work is accurate and not misleading; and (c) use and posting of the Work you supply does not violate these Terms and will not violate any rights of or cause injury to any person or entity.

Governing Law and Jurisdiction

7.1. These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law principles.

7.2. Any dispute arising out of or in connection with these Terms or your submission of any Work shall be subject to the exclusive jurisdiction of the courts located in Canada.

Changes to these Terms

8.1. We reserve the right to change or modify any of the terms and conditions contained in the Terms or any policy or guideline of StoryBee Inc., at any time and in our sole discretion. Any changes or modification will be effective immediately upon posting of the revisions, and you waive any right you may have to receive specific notice of such changes or modifications. Your continued use of our services following the posting of changes or modifications will confirm your acceptance of such changes or modifications. By continuing to submit Works to us after those revisions become effective, you agree to be bound by the revised Terms.

Severability

10.1. If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, the parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms shall remain in full force and effect.

Waiver

11.1. The failure of StoryBee Inc. to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

Entire Agreement

12.1. These Terms constitute the entire agreement between you and StoryBee Inc. and its affiliates and partners with respect to your submission of any Work and supersede any prior agreements, understandings, or representations, whether written or oral.

By submitting your Work, you acknowledge that you have read, understood, and agreed to be bound by these Terms and Conditions.

Parental/Guardian Consent

13.1. If you are under the age of majority in your jurisdiction, you must have a parent or legal guardian review and agree to these Terms on your behalf. By submitting your Work, you represent and warrant that a parent or legal guardian has reviewed and agreed to these Terms, and you have obtained their consent to participate in this submission process.

Termination

14.1. We reserve the right to terminate your access to our services and your ability to submit Works to us at any time and for any reason, including but not limited to your breach of these Terms, without prior notice or liability.

Assignment

15.1. You may not assign or transfer any rights, obligations, or privileges granted to you under these Terms without our prior written consent. We may assign or transfer our rights, obligations, or privileges under these Terms without restriction and without notice to you.

Force Majeure

16.1. We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
